Each of the Parties shall execute such further Conveyance Instruments and such other documents, instruments of transfer or assignment (including a real estate excise Tax affidavit) and do such other acts or things as may be reasonably required or desirable to carry out the intent of the Parties hereunder and the provisions of this Agreement and the transactions contemplated hereby.

Seller's interest in the Real Property is subject to no liens, claims or encumbrances, except for those set forth in Schedule 4.9. True and correct copies of all instruments conveying Real Property or otherwise evidencing ownership thereof, including, without limitation, mortgages, deeds of trusts, deeds, contracts in lieu of deed, purchase contracts, or leases ("Conveyance Instruments"), have been delivered to Buyer by Seller.
The execution and delivery by Seller of this Agreement, the Conveyance Instruments and the Transactional Documents and the consummation of the transactions contemplated thereby, have been duly authorized by all requisite corporate action.
