Conveyance Documents definition

Conveyance Documents has the meaning set forth in Section 11.2(a).

Conveyance Documents means the documents described in Paragraphs 3.3(a)(i) and (ii), which provide for the assignment, transfer or other disposition of the Assets to the Purchaser.

Conveyance Documents means the Deed, the Assignment and Assumption of Management Agreement, the Assignment and Assumption of Tenant Leases, the Bill xx Sale and the General Assignment and Assumption Agreement.

Examples of Conveyance Documents in a sentence

• Western Land Company, LLC hereby agrees to join in the execution of the Conveyance Documents.

• Seller has the power and authority to enter into this Agreement and the Conveyance Documents and, to sell the Property on the terms set forth in this Agreement.

• At the Closing, all of Seller's right, title or interest in and to all of the Acquired Assets shall be transferred, conveyed, assigned and delivered by Seller to Purchaser pursuant to the Conveyance Documents.

Conveyance Documents has the meaning set forth in Section 2.02(a).

Conveyance Documents means the documents described in Section 2.5, which provide for the assignment, transfer or other conveyance of the Assets to Buyer.

Conveyance Documents means the Asset Transfer and Contribution Agreement, the Marathon Quitclaim Deeds, the Ashland Quitclaim Deeds, the Marathon General Assignment and Assumption Agreement, the Ashland General Assignment and Assumption Agreement, the Marathon Intellectual Property License Agreement, the Ashland Intellectual Property License Agreement, the Marathon Trademark License Agreement, the Ashland Trademark License Agreement, the Marathon Lease Agreements, the Ashland Lease Agreements, the Marathon Sublease Agreements and the Ashland Sublease Agreements and related conveyancing documents pursuant to which Transferred Assets are transferred to the Company and its subsidiaries.

Conveyance Documents is defined in Section 2.1(b) of this Agreement.
