Virgin Money Shareholders have the right to attend in person or through counsel and make representations at the Scheme Convening Hearing.
At the Scheme Convening Hearing, amongst other things, Virgin Money will determine with the Court whether, for the purposes of voting at the Court Meeting, all Virgin Money Shareholders, including Virgin Group and Vieco Investments, can vote together as one class.
The parties will seek to book at least a half day for the Convening Hearing and the Court Hearing unless, acting reasonably, they agree otherwise in writing.
The notice convening the Court Meeting, together with all relevant forms of election (if any), proxy forms and other documents related to the Scheme will be dispatched to the Company Shareholders as soon as is reasonably practicably after the Convening Hearing and, in any event, 3 Business Days thereof.
