This Contribution Agreement may be amended by appropriate instrument, without the consent of the Contributor and the Stockholder, at any time prior to the Contribution Closing Date; provided, that no such amendment, modification or supplement shall be made that alters the amount or changes the form of the consideration to be delivered to the Contributor or the Stockholder.
Such Award shall be settled as soon as reasonably practicable on or after the Contribution Closing Date, but in no event later than thirty (30) days following the Contribution Closing Date.
All representations and warranties of the Contributor and the Company, as applicable, contained in this Contribution Agreement shall survive after the Closing until the first anniversary of the Contribution Closing Date (the “Expiration Date”).
