Contributed Business definition

Contributed Business. As defined in each of the Contribution Agreements.
Contributed Business means each of the Core MTS Business and the Echo Business, as applicable.

  • The Government Licenses constitute all those necessary for the normal operation and conduct of the Contributed Business as it is currently operated and conducted, except where the failure to have such Government Licenses would not reasonably be expected to have a Material Adverse Effect.

  • The Company is not a party to, and none of the Company, the Contributed Business or the Contributed Assets is subject to or bound by, any Order which would affect the legality, validity or enforceability of this Agreement or the other Transaction Documents or the consummation of the Transaction.

  • All Books and Records relating to the ownership and operation of the Contributed Business and the Contributed Assets are or will be by the Closing Date located at the Company’s premises, have been maintained substantially in accordance with applicable Laws, and comprise all of the Books and Records necessary for the ownership and operation of the Contributed Business and the Contributed Assets.


More Definitions of Contributed Business

Contributed Business means, in respect of GlaxoSmithKline, the GlaxoSmithKline Consumer Business and, in respect of Novartis, the Novartis OTC Business;
Contributed Business. (when used in respect of GlaxoSmithKline) shall be deemed to exclude the Netherlands Business;
Contributed Business means, the business consisting of representing music artists, managing talent in the media and entertainment industries and consulting in such industries, as owned and/or conducted by Azoff Management, and proposed to be conducted from and after August 1, 2013, including all assets (including goodwill) and rights of Azoff Management therein and thereto, together with the other businesses and assets described in Schedule 2.1(a). For the avoidance of doubt, Contributed Business does not include (i) receivables for commissions earned but not received by Azoff Management relating to the period ending on July 31, 2013 and (ii) all cash on hand and in the bank accounts of Azoff Management as of July 31, 2013.
Contributed Business is defined in the first recital.
Contributed Business means, with respect to MUFG or its Contributing Subsidiaries, the MUS Contributed Business, and with respect to MS or its Contributing Subsidiaries, the MSJS Contributed Business and the IBD Contributed Business, as applicable.
Contributed Business means the compression services business whereby the Company leases or rents compression units to third parties engaged in the exploration, production, gathering, processing, transportation or distribution of oil and gas, as such business is currently conducted by the Company. For the avoidance of doubt, the term “Contributed Business” does not include the Fabrication Business.
