Contractor Technology definition

Contractor Technology. Intellectual property which were owned by Contractor prior to the Agreement Effective Date (including certain modifications, enhancements or improvements to such intellectual property developed hereunder), including Contractor’s proprietary methodologies, project management and other tools, deliverable examples, procedures, processes, techniques, data models, templates, general purpose consulting and software tools, utilities, and routines, and which were not designed, developed or installed with Federal Financial Participation; the Pre-existing Software; and Contractor’s Confidential Information.
Contractor Technology means all software and hardware as applicable, and any technology, information, content and data, together with Intellectual Property Rights related thereto, owned or used by the Contractor in the performance of the Services.
Contractor Technology means intellectual property owned by Contractor prior to the Effective Date or developed and owned by Contractor outside the scope of this Contract (including modifications, enhancements or improvements thereto), including Contractor’s proprietary methodologies, project management and other tools, deliverable examples, procedures, processes, techniques, data models, templates, general purpose consulting and software tools, utilities, and routines.

  • Contractor represents and warrants that: (i) Contractor is not aware of any claim, investigation, litigation, action, suit or administrative or judicial proceeding pending or threatened based on claims that the Contractor Technology infringes any patents or copyrights, or misappropriates trade secrets or other rights of any third party, and (ii) Contractor has no actual knowledge that the Contractor Technology infringes upon any patents, copyrights, trade secrets or other rights of any third party.

  • Contractor agrees to obtain, at its own expense, express written consent of the intellectual property rights holder(s) for the inclusion as the Contractor Technology.

  • Contractor warrants to the Department that the Module, Deliverables, and Contractor Technology provided to the Department, under this Contract contain or will contain no Unauthorized Code or Self-Help Code.

  • The Department must receive prompt Notice of each credible notice or claim of copyright infringement or infringement or misappropriation of other intellectual property right worldwide received by Contractor with respect to any Contractor Technology delivered under this Contract if that claim, if successful, could prevent Contractor from performing its obligations under this Contract.

  • The licenses hereunder are granted as of the Delivery Date of the Contractor Technology and Third-Party Software and continue until the Department returns the Contractor Technology and Third-Party Software and copies thereof to Contractor or erases such Software from its Equipment’s storage media.

Contractor Technology means (i) the System, (ii) the Application, and (ii) any technology, information, content and data, together with Intellectual Property Rights related thereto, owned or used by the Contractor in the performance of the Services.

Contractor Technology means the Pre-Existing Works, software (including, but not limited to, the "Software", as defined herein) and other Technology, that is owned, licensed and/or used by Contractor (including the Contractor Assisting Entities) in connection with the UIS. For purposes of clarity, Contractor Technology includes Upgrades and Enhancements thereto.

Contractor Technology means proprietary information and materials in electronic design automation, CAD or CAE, electronic product manufacturing, software tools, computer programs and their documentation, computer languages, methods, methodologies, design flows, cell libraries, algorithms, databases, mechanical and electronic hardware, electronic components and other materials and technology owned or controlled by Contractor.
