Contractor IP definition

Contractor IP means all tools, software and programs owned by Contractor (licensed to Contractor by a third party licensor) that (1) existed prior to the Effective Date and the commencement of the Work; (2) are not related to the Work or to Contractor’s services in connection with the Work; or (3) were created by Contractor (or its licensor) totally separate from the Work or Contractor’s services in connection with the Work.
Contractor IP means all tangible or intangible items or things, including the Intellectual Property Rights therein, created or developed by Contractor (a) prior to providing any Services or Work Product to Texas A&M Forest Service and prior to receiving any documents, materials, information or funding from or on behalf of Texas A&M Forest Service relating to the Services or Work Product, or (b) after the Effective Date of the Contract if such tangible or intangible items or things were independently developed by Contractor outside Contractor’s provision of Services or Work Product for Texas A&M Forest Service hereunder and were not created, prepared, developed, invented or conceived by any Texas A&M Forest Service personnel who then became personnel to Contractor or any of its affiliates or subcontractors, where, although creation or reduction-to-practice is completed while the person is affiliated with Contractor or its personnel, any portion of same was created, invented or conceived by such person while affiliated with Texas A&M Forest Service.
Contractor IP means the Contractor's Intellectual Property Rights which are incorporated in anything supplied under the Contract and which:

  • The Contractor grants to NAFC and each Member a non-exclusive, royalty-free licence to use the Contractor IP to the extent necessary for NAFC and the Members to receive the full benefit of the Services.

More Definitions of Contractor IP

Contractor IP means any Intellectual Property owned by the Contractor, or licensed to the Contractor by a third party, existing at the commencement of this Contract or created during the Contract Period independently and unrelated to the supply and delivery of the Services. Contract Period means the total period of time that there is a Contract between NAFC and the Contractor. Contract Price means collectively all fees and charges payable or due to the Contractor as specified in Schedule 3, for performance of the Services under this Contract.

Contractor IP means Contractor’s intellectual property in the Products and/or Services that are pre-existing as of the effective date of this Contract, including any Contractor Computer Software (as defined herein,).
Contractor IP means all CONTRACTOR software, equipment, intellectual property materials and any other materials which the CONTRACTOR owns or controls, patents, copyrights or other intellectual property rights that are created or provided by the CONTRACTOR for use in the MERA System except for Third Party IP and County IP.
Contractor IP means IP Rights owned by or licensed to the Contractor as at the Commencement Date or acquired or developed by the Contractor during the Service Period independently of the activities carried out under this Agreement, which the Contractor has the right to license to third parties and which are necessary or desirable for use in connection with the Services.
