Even if Plan Sponsor, as the Contractholder, ceases to exist, notifies Insurer that it will cease to perform its obligations under the Contract, or no longer has obligations under the Contract, the Contract will remain a valid and binding obligation of Insurer, irrevocable and in full force and effect, and enforceable against Insurer by each Annuitant in accordance with its terms, subject to the Enforceability Exceptions.
If Insurer is notified of a death prior to the Liability Date (i) more than six months from the Closing Date or (ii) after the date the Contract is tendered to the Contractholder, whichever is later, there will be no adjustment of Annuity Premium.
