Continuously employed as used in Section 9, means continuously employed by the Bank but excludes any period of employment by a bank or financial institution acquired by or merged into the Bank and excludes any period of employment by the Bank if such period is separated from the current employment with the Bank by a break in service (other a break in service resulting solely from illness, disability or family leave).
Continuously employed means the absence of any interruption or termination of service. Continuous Employment with the Company shall not be considered interrupted in the case of the sick leave, military leave or any other leave of absence approved by the Company or in the case of transfers between location of the Company; provided that the individual continues to be an Employee of the Company;
Continuously employed means the absence of any interruption or termination of Participant’s employment with Corporation. Continuous employment shall not be considered interrupted or terminated in the case of sick leave, military leave or any other leave of absence approved in writing by Corporation or in the case of transfers between Corporation’s locations or places of business.

Notwithstanding anything in this Agreement to the contrary, in an event that the Company in its sole discretion determines that the Transaction Closing will not occur, upon the Determination Date and subject to Employee remaining Continuously Employed through such date, upon Employee’s separation from service, Employee’s outstanding Equity Awards shall be treated in accordance with the Retirement Provisions.
If Employee remains Continuously Employed until the Transaction Closing, the Company will pay, or cause to be paid, to Employee 100% of the Transaction Bonus Opportunity within 60 days following the date of the Transaction Closing.
More Definitions of Continuously employed
Continuously employed means a period of employment which has not been interrupted by more than thirty (30) calendar days at any one time, except by an authorized leave of absence, sick leave, vacation, or military leave of absence, absence due to illness that was compensable under Minnesota Workers Compensation or, for a period not to exceed two years while on Long Term Disability.
Continuously employed means having worked in the same public school district or charter school for at least ninety one (91) working days in the prior school year. Substitute teachers shall be considered Continuously Employed when they have worked forty five (45) days in the prior school year in any combination of Delaware school districts or charter schools. Persons participating in a student teacher assignment shall be considered Continuously Employed when they have participated for forty five (45) days in the prior school year in any combination of Delaware school districts or charter schools as a student teacher.

Notwithstanding the foregoing, if, on or before the second (2nd) anniversary of a Change in Control, but prior to the vesting event described in clause (a) above, the Participant’s employment is terminated by the Company or its affiliate without Cause, then the Restricted Stock Units held by such Participant shall vest based on the extent to which (based on percentage) the Company has satisfied or exceeded the performance conditions set forth on Schedule I to this Agreement determined as of such termination date, subject to the Participant’s execution of an effective general release and waiver (without revocation during any revocation period) of all claims against the Company, its affiliates and their respective officers and directors related to the Participant’s employment, in a form acceptable to the Company at the Participant’s termination of employment, not later than 50 days after the Participant’s termination date. Upon the occurrence of the date of vesting described above, the Company shall deliver to the Participant the applicable number shares of Common Stock via electronic book-entry issuance.
Continuously employed means continuous uninterrupted service with the District since last date of hire. Prior service in other Units within the District shall be credited on a pro rata basis, with less than six and one-half (6 ½) hours per day to equal one-half (1/2) time for computation purposes and three (3) hours or less per day to equal zero (0) time. (Example: Bus Aide works four (4) hours per day for six (6) years and then transfers to Unit 9; obtains three (3) years of credit for vacation eligibility.)
