Continued Benefits definition

Continued Benefits as defined in Section 4.3(g) hereof.

More Definitions of Continued Benefits

Continued Benefits means continued coverage for Employee (and Employee’s qualified beneficiaries’), at no cost to Employee, under any medical plan or policy in which Employee was participating as of the time of Employee’s termination of employment (as may be amended by Employer from time to time in the ordinary course), to the extent that Employee timely elects such continued coverage, until the earlier of: (A) eighteen (18) months following the date of termination and (B) the date Employee is or becomes eligible for comparable coverage under health plans of another employer, which period shall run concurrently with the continuation period required to be provided under the Consolidated Omnibus Budget Reconciliation Act; provided, however, to the extent that Employer determines that such the provision of the Continued Benefits would result in adverse tax consequences to Employer, Employer may instead, in its discretion, provide substantially similar benefits or payment outside of Employer’s benefit plans if Employer reasonably determines that providing such alternative benefits or payment is appropriate to minimize such potential adverse tax consequences and penalties.
Continued Benefits means reimbursement of any premiums for continued group medical, dental and vision coverage for the Executive and/or the Executive’s eligible dependents under Section 4980B of the Internal Revenue Code of 1986, as amended (“COBRA”), to the extent such amount exceeds the premium which Executive would have had to pay for coverage under such plan if she had remained an active employee. For the avoidance of doubt, any amounts reimbursed pursuant to this Section 7 shall be treated as compensation.
Continued Benefits means the benefits described in Section 7 hereof.
Continued Benefits means, for the continued benefit of Executive, his spouse and eligible dependents following the Termination Date the medical, hospitalization, dental and life insurance programs of the Company in which Executive, his spouse and his eligible dependents were participating on the Termination Date.
Continued Benefits for any specified period shall mean benefits under all of the employee benefit programs of STAAR (including, but not limited to, group medical insurance, group dental insurance, group-term life insurance and disability insurance) available to the Executive before any termination in the same way and at the same level as immediately prior to the termination at no additional cost to the Executive, except to the extent tax rules require the inclusion of the value of such benefits in the Executive’s income. STAAR may elect at its discretion to satisfy any obligation to pay Continued Benefits by paying to the Executive in cash the amount that would otherwise be paid for such benefits.

Continued Benefits means the Participant’s and his enrolled dependents’ continued participation, for the period of time described in the Participant’s Participation Agreement following the Participant’s termination of employment, under the health and welfare benefit programs provided by the Company as in effect on the Effective Date at active employee rates with respect to those health and welfare benefit program costs paid by the Participant prior to the date of his termination of employment; provided, however, that to the extent that any medical, dental, or vision benefits are self-funded by the Company, the Participant will be required to pay his portion of such costs on an after-tax basis and the remainder of the cost of such coverages (i.e., the portion otherwise paid by the employer) will be imputed as income to the Participant and reported on Form W-2 in order to ensure that the medical, dental and vision benefits payable to the Participant are not includible in his gross income. Further, in the event that the Company’s health and welfare benefit programs do not permit such continuation coverage, the Company will be obligated to provide such coverage through another means (e.g., by the purchase of a commercial insurance policy). In the event of the Participant’s death, any such continued health and welfare benefit program benefits provided to the Participant’s enrolled dependents will be provided on these same terms. Any continued medical, dental and vision benefits provided pursuant to Section 5(b) are in addition to any rights the Participant and his enrolled dependents may have to continue such coverages under the Consolidated Omnibus Budget Reconciliation Act of 1985, as amended. The cost of any Continued Benefits payable by the Participant pursuant to Section 5(b) shall be deducted from the payment of the Severance Bonus payable pursuant to Section 5(b).
