If Cartesian disagrees with a particular Contingent Payment Statement, then Cartesian shall notify the Company of its disagreement (the “Dispute Notice”) within such thirty (30) day period together with reasonable particulars of the basis of such dispute, including Cartesian’s position on the amounts in dispute (and the impact such position has on the Contingent Payment Amounts).
