Contingent Notes definition

Contingent Notes means the contingent promissory notes constituting Subordinated Indebtedness issued to the Sellers in connection with a Permitted Acquisition made hereunder or under this Agreement prior to its amendment and restatement on the Initial Closing Date.
Contingent Notes means the Company's Senior Subordinated Contingent Notes due 2009.
Contingent Notes means the Contingent Payment Notes due on the Maturity Date issued pursuant to the Contingent Note Indenture;

Examples of Contingent Notes in a sentence

  • The Board of Directors of the Purchaser has duly authorized the execution, delivery and performance of this Agreement, the Contingent Notes and the other agreements and transactions contemplated hereby, and no other corporate proceedings on its part are necessary to authorize this Agreement and the transactions contemplated hereby.

More Definitions of Contingent Notes

Contingent Notes means the unsecured contingent notes issued by the Borrower and certain of the Subsidiaries in connection with acquisitions prior to the Closing Date and any earn-out obligations incurred prior to the Closing Date which are similar in nature thereto but which are not represented by actual notes, all of which are set forth on Schedule 1.01(b).
Contingent Notes means those certain 8% Non-Negotiable Subordinated Contingent Notes in the original aggregate principal amount of $2,500,000 issued pursuant to the Purchase Agreement.
