Consideration Value definition

Consideration Value means the value of the applicable Option, Convertible Security as of the date of issuance thereof (as determined by the Board of Directors in good faith).
Consideration Value has the meaning set forth in Section 2.2.
Consideration Value means $300,000,000 plus the product obtained by multiplying 9,000,000 by the closing price of the Class A Shares on the NYSE on the last NYSE trading day before the Effective Date;
