Consents definition

Consents means all filings and all licenses, permits, consents, approvals, authorizations, qualifications and orders of governmental authorities and other third parties, domestic or foreign, necessary to carry on any Borrower's business, including, without limitation, any Consents required under all applicable federal, state or other applicable law.
Consents means any consents, waivers or approvals from, or notification requirements to, any Person other than a member of either Group.

  • Seller shall use commercially reasonable efforts to seek to obtain the Lender Consents and Approvals on or before the Closing Date.

  • As such, and notwithstanding anything to the contrary contained within this Agreement, the obligation of Seller to close on the sale and purchase of the Property pursuant to this Agreement shall be and hereby is expressly conditioned upon Seller obtaining the prior written consent, approval and/or partial release from Seller’s lender(s) on or before the Closing Date (collectively, “Lender Consents and Approvals”).
