Examples of Conflicts Committee in a sentence
Prior to the earlier of the Closing and the termination of this Agreement, the HESM Board shall not, and the Sponsors shall not cause the HESM Board to, without the consent of a majority of the then-existing members of the Conflicts Committee, eliminate the Conflicts Committee, revoke or diminish the authority of the Conflicts Committee or remove or cause the removal of any director of the HESM Board that is a member of the Conflicts Committee, either as a director or as a member of such committee.
To the knowledge of such Sponsor, the projections and budgets provided in writing to the Conflicts Committee (including those provided to any financial advisor to the Conflicts Committee) as part of the Conflicts Committee’s review of the Transaction Documents and the transactions contemplated thereby have a reasonable basis and are materially consistent with the General Partner’s current expectations.
The Conflicts Committee has received the opinion of Intrepid Partners, LLC to the effect that, as of the date of such opinion, and based upon and subject to the assumptions, qualifications, limitations and other matters set forth therein, the total Cash Consideration to be paid by HESM OpCo to the Sponsors at the Closing is fair, from a financial point of view, to Xxxx Midstream.
The Transaction would be approved by the Conflicts Committee of the Board of Directors of TLP GP and the ArcLight Investment Committee.
Neither the TEPPCO Conflicts Committee nor the board of directors of TEPPCO’s general partner shall have determined that their fiduciary obligations under TEPPCO’s partnership agreement or under any applicable law, rule or regulation, or under any judicialopinion, order, ruling or decree prohibits TEPPCO from consummating the transactions contemplated by this Letter or the Joint Venture Agreement.
