Confirmation Certificate definition

Confirmation Certificate has the meaning set forth in Section 2.8(c).

Confirmation Certificate means a certificate signed by a member of the management board (in Danish: direk- tion) and the chairman of the board of directors (in Danish: bestyrelse) of the Issuer and addressed to the Agent confirming that each of the matters referred to in (a), (b) and (c) of the definition of Effective Date has occurred.

Confirmation Certificate means the certificate to be completed by the Recipient in accordance with Clauses 4.2 and 6.2 in the form set out as Schedule 1 to these Terms and Conditions

• To the extent the Contract Capacity set forth in Section 1.02(d) on the Effective Date and the Contract Capacity set forth in the Contract Capacity Confirmation Certificate or as otherwise demonstrated in accordance with Exhibit C are different, Section 1.02(d) will be adjusted to reflect the Contract Capacity set forth in the Contract Capacity Confirmation Certificate or as otherwise demonstrated in accordance with Exhibit C.

• In addition, the terms of this Section 7(c) are also conditioned on the Participant not receiving replacement equity from a new employer for the unvested Deferred Cash and Restricted Units as to which continued vesting is to apply and the Participant confirming such fact in the Resignation Questionnaire and each Confirmation Certificate.

• The Reportable Capacity set forth in the As-Available Contract Capacity Confirmation Certificate will be used by Buyer to determine Buyer’s MW Target with respect to this Agreement.

• In addition, the terms of this Section 7(d) are also conditioned on the Participant not receiving replacement equity from a new employer for the unvested Deferred Cash and Restricted Units as to which continued vesting is to apply and the Participant confirming such fact in each Retirement Confirmation Certificate.

More Definitions of Confirmation Certificate

Confirmation Certificate means a certificate substantially in the form set out in Part VI of Schedule 3 (Form of Deed of Confirmation Certificate).

Confirmation Certificate means a Confirmation Certificate relating to it dated July [•], 2011, executed and delivered by Merchant Banking;

Confirmation Certificate has the meaning assigned to it in Section 6.5(d).
