Confidentiality Deed definition

Confidentiality Deed means the Confidentiality Deeds between MGL and each of Ironbridge Capital Pty Ltd (dated 21 July 2003), BOS International (Australia) Limited, Credit Suisse First Boston (dated 5 August 2003) and CVC Asia Pacific Limited relating to the transaction contemplated by this Deed and the related sale process.
Confidentiality Deed means the confidentiality deed executed or to be executed by the Bidders in accordance with this Bid Document, the format of which is provided in Annexure VIII of this Bid Document and on the website of the Lead Lender and the Bid Advisor as described in the Advertisement.
Confidentiality Deed means a deed substantially in the form of Schedule 2.

Examples of Confidentiality Deed in a sentence

  • The rights and obligations of the parties under the Confidentiality Deed survive termination of this deed.

  • Each party agrees and acknowledges that it is bound by the terms of the Confidentiality Deed save that the terms of this deed will prevail over the Confidentiality Deed to the extent of any inconsistency.

  • These supersede all prior discussions, negotiations, understandings and agreements in respect of its subject matter (other than the Confidentiality Deed (excluding any inconsistent provisions)).

  • The rights and obligations of the parties under the Confidentiality Deed survive termination of this deed (for so long as the Confidentiality Deed binds that party in accordance with its terms).

  • To the extent of any inconsistency between the Confidentiality Deed and this deed, the terms of this deed shall prevail.


More Definitions of Confidentiality Deed

Confidentiality Deed means the Confidentiality Deed in Schedule 1, or any substitute for that Deed that may be agreed between the parties and NZX Limited.
Confidentiality Deed means the confidentiality deed between the parties dated 28 September 2023. Consultation Notice has the meaning given to that term in clause 3.7(a). Control has the meaning given to that term in section 50AA of the Corporations Act and Controlling and Controlled has the corresponding meaning. Corporations Act means the Corporations Act 2001 (Cth). Corporations Regulations means the Corporations Regulations 2001. Counterproposal has the meaning given to that term in clause 8.6(b). Court means the Federal Court of Australia.
Confidentiality Deed means the confidentiality deed between Target and the Bidder dated 1 May 2019. Control has the meaning given in section 50AA of the Corporations Act. Corporations Act means the Corporations Act 2001 (Cth). Court means the Federal Court of Australia or such other court of competent jurisdiction as Target and Bidder agree in writing. Current Accounting Practice means the accounting principles and practices in accordance with the Australian Accounting Standards (including Australian Accounting Interpretations) adopted by the Australian Accounting Standards Board and the Corporations Act. CVC Property means CVC Property Investments Pty Ltd. Data Room means the online data room established for the purpose of this Transaction, the index for which is attached to the Target Disclosure Letter. Debt Commitment means the financing commitments pursuant to the Debt Commitment Letter. Debt Commitment Letter means an executed facilities agreement or an executed commitment letter and accompanying term sheet from certain banks or other financial institutions addressed to Bidder and dated on or about the date of this agreement.
Confidentiality Deed means the Confidentiality Deed between the parties dated 6 November 2017.
Confidentiality Deed means the confidentiality deed between Tower and Fairfax dated 15 September 2016. Companies Act means the Companies Xxx 0000. Cost Reimbursement has the meaning set out in clause 11.2.
Confidentiality Deed means the confidentiality deed between DuluxGroup and Nippon Paint dated 5 March 2019.
Confidentiality Deed means the document set out in Schedule 3; Confidential Information means any information regardless of its form, created at any time, which: is Specific Confidential Information; is marked as confidential; is by its nature confidential; or the Audit Service Provider knows or ought to know is confidential; but excludes information which, without breach of this Agreement or other breach of confidence: is or becomes public knowledge; the Audit Service Provider already knew or had in its possession, on a non-confidential basis, prior to the commencement of this Agreement or before receiving the information from the Auditor-General or the Authority; or has been independently developed or acquired by the Audit Service Provider;
