Conffidential Information definition
Conffidential Information means all confidential information of a party (“Disclosing Party“) disclosed to the other party (“Receiving Party“), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, which shall include the existence and terms of the Agreement (including pricing and other terms reflected in all Order Forms hereunder), the Customer Data, the Service, Content, business and marketing plans, knowhow, technology and technical information, product designs, and business processes. Confidential Information shall not include any information that:
a. is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party;
b. was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party;
c. was independently developed by the Receiving Party without breach of any obligation owed to the Disclosing Party;
d. is received from a bona fide third party without breach of any obligation owed to the Disclosing Party; or
e. any disclosure required by law.
Conffidential Information means all information provided to the Cloud Provider by the Cloud Customer or any third party authorised by the Cloud Customer, including any Cloud Data, any information provided in the Application Form and all materials, documentation and records provided to the Cloud Provider or created by the Cloud Provider that directly relate to the Cloud Customer, other than information which:
Conffidential Information means all information disclosed by one Party (“Discloser”) to the other Party (“Receiving Party”) (in writing, orally or in any other form) that is clearly and prominently labeled as “Confidential”, at or before the time of disclosure, or is provided under circumstances reasonably indicating that the information is confidential. Confidential Information includes, without limitation, trade secrets, customer lists, business plans, technical data, product ideas, personnel, contract (including the terms of this Agreement and the Order Schedule), and financial information. Confidential Information does not include information or material that (a) is now, or hereafter becomes, through no act or failure to act on the part of the Receiving Party, generally known or available to the public; (b) is or was rightfully known by the Receiving Party at or before the time such information or material was received from the Discloser, as evidenced by the Receiving Party’s tangible (including written or electronic) records; (c) is furnished to the Receiving Party by a third party that is not under an obligation of confidentiality with respect to such information or material; or (d) is independently developed by the Receiving Party without any breach of this Agreement, as evidenced by the Receiving Party’s contemporaneous tangible (including written or electronic) records.

More Definitions of Conffidential Information
Conffidential Information means all code, inventions, know-how, business, technical and financial information and Personal Data that one Party (“Receiving Party”) obtains from the other Party (“Disclosing Party”); provided that such information is identified as confidential at the time of disclosure or should be reasonably known by the Receiving Party to be Confidential Information due to the nature of the information disclosed and the circumstances surrounding the disclosure; and provided further that any software, documentation or technical information provided by Omnizon (or its Partners), performance information relating to the Services, shall be deemed Confidential Information of Omnizon without any marking or further designation.
Conffidential Information means: (i) any information marked confidential or that would be regarded as confidential by a reasonable business person that is provided by or on behalf of a Party (or its Affiliates) to another Party or its agents in connection with this Agreement (whether orally, in writing or in any other form);
Conffidential Information means all confidential information (however recorded or preserved) disclosed by a party or its Representatives (as defined below) to the other party and that party's Representatives whether before or after the date of this agreement, including but not limited to:
(a) any information that would be regarded as confidential by a reasonable business person relating to:
(i) the business, assets, affairs, customers, clients, suppliers, plans, intentions, or market opportunities of the disclosing party; and
(ii) the operations, processes, product information, know-how, designs, trade secrets or software of the disclosing party;
(b) any information developed by the parties in the course of carrying out this agreement and the parties agree that:
(i) details of the Services, and the results of any performance tests of the Services, shall constitute Supplier Confidential Information; and
(ii) Customer Data shall constitute Customer Confidential Information;
Conffidential Information means information which (i) is communicated by either Party to the other Party, (ii) relates to the subject matter of a Contract, and (iii) is either communicated in writing or other tangible form and marked confidential, or communicated in any other manner, provided it is designated as being confidential at the time of disclosure and is confirmed as such in writing by the disclosing Party within thirty (30) days of the disclosure.
Conffidential Information means all information and materials disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. SSC Confidential Information includes the Services and any proprietary materials provided through the Services; Customer Confidential Information includes Customer Services Data; and Confidential Information of each party includes any proprietary pricing Customer might receive as a quote, offer, or in an Order Form, as well as business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by such party. However, Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party as shown by documents and other competent evidence in the Receiving Party’s possession.
Conffidential Information means any information that one Party (the “Disclosing Party”)provides to the other Party (the “Receiving Party”) in connection with this Agreement, whether orally or in writing, that is designated as confidential or that reasonably should be considered to be confidential given the nature of the information and/or the circumstances of disclosure. However, Confidential Information will not include any information or materials that: (i) were, at the date of disclosure, or have subsequently become, generally known or available to the public through no act or failure to act by the Receiving Party; (ii) were rightfully known by the Receiving Party prior to receiving such information or materials from the Disclosing Party; (iii) are rightfully acquired by the Receiving Party from a third party who has the right to disclose such information or materials without breach of any confidentiality or non-use obligation to the Disclosing Party; or (iv) are independently developed by or for the Receiving Party without use of or access to any Confidential Information of the Disclosing Party.
Conffidential Information means any information disclosed by the Disclosing Party (or its Affiliate) to the Receiving Party, or which is received by the Receiving Party under or in connection with an Assignment and which relates to the Disclosing Party (or its Affiliate), and that is marked confidential, that the Receiving Party knows or reasonably ought to know is confidential, or which is of its nature confidential, including:
