Conferencing Services definition

Conferencing Services. In lieu of any other rates and discounts, the Customer will receive a discount equal to 30% for the following Conferencing Services: US Dial Out International Audio Conferencing. The current standard rates in the Guide (which includes both transport and bridging) for domestically bridged International Dial-Out Audio Conferencing, International Audio Conferencing (dial out from a US bridge).

Data Services: The Customer will receive discounts ranging from 15% to 71% for the following Data Services: Access: Standard VBSII Guide local loop charges for DS-0 Hubless Access and DS-3 Access Service and Type 1 Converged Ethernet Access Service.

Canadian Audioconferencing: For Audio Conferencing Dial Out and Toll Free Meet-Me Access (1) originating in the U.S. Mainland, Alaska, Hawaii, and the U.S. Virgin Islands and terminating in Canada, and (2) originating in Canada and terminating in the U.S. Mainland, Alaska, Hawaii, and the U.S. Virgin Islands. Global Access Transport Charges (U.S. Bridged): Per-minute per-bridge port usage charges, based on availability of service, zone and origination access type. Bridging charges are additional and are priced at Customer's applicable Toll Meet Meet-Me Access rate per minute.

Conferencing Services means the provision of audio, web and video conferencing services for Authorized Users as described in the Agreement.

Classifications, Practices and Regulations: Underutilization and Termination with Liability: If, in any contract year during the Term, Customer's Total Service Charges do not meet or exceed the AVC, then Customer shall pay: (a) all accrued but unpaid charges incurred under the Agreement; and (b) an "Underutilization Charge" in an amount equal to 25% of the difference between the AVC and Customer's Total Service Charges during that contract year. If in any monthly billing period during the Extended Term, the Customer’s Total Service Charges do not meet or exceed 1/12 of the AVC then the Customer shall pay: (a) all accrued but unpaid charges incurred under the Agreement, and (b) an amount equal to 25% of the difference between 1/12 of the AVC and the Customer’s Total Service Charges during such monthly billing period. If (a) the Customer terminates the Agreement before the end of the Term for reasons other than Cause (as defined in the Agreement); or (b) the Company terminates the Agreement for Cause then the Customer will pay, within 30 days after such termination: (i) all accrued but unpaid charges incurred through the date off such termination, plus (ii) an amount equal to 25% of the unsatisfied AVC remaining during the year of the termination, and for each subsequent contract year remaining in the term, plus (iii) a pro rata portion of any and all credits received by Customer. Credit: One Time Credit: Customer will receive two credits, each equal to $11,250, applied against the Customer’s Interstate Total Service Charges.
