Computed Price definition
Computed Price means, with respect to a particular Trading Day in the Share Redemption Computation Period for a particular Share Redemption, 90 percent of the VWAP of the Common Stock for such Trading Day.
Computed Price for any date means arithmetic average of the per share Trading Price during the Measurement Period with respect to such date.
Computed Price of shares of Common Stock means the price equal to 85 percent of the arithmetic mean of the per share Closing Price (as defined in Section 9(b)) of the Common Stock for the three consecutive trading days ending on the third trading day prior to the applicable dividend payment date; provided however, that, notwithstanding the foregoing, in no event shall the Computed Price be less than $.01 per share.

Computed Price means, as of the Maturity Date or an Interest Payment Date, the lower of (A) the product obtained by multiplying (i) the Applicable Percentage for the Maturity Date or the applicable Interest Payment Date, as the case may be, TIMES (ii) the arithmetic average of the Closing Price of the Common Stock for each day in the Measurement Period ending on the last trading day prior to the Maturity Date or the applicable Interest Payment Date, as the case may be, and (B) $7.00 (subject to equitable adjustment from time to time for stock splits, stock dividends, combinations, capital reorganizations and similar events relating to the Common Stock occurring on or after the Issuance Date (as defined in Section 2.2)).
