Completion Net Assets the number in the Completion Balance Sheet that corresponds to "Net Assets (Excluding Net Debt)" ((Pound Sterling)220,365,000) as at the Base Line Balance Sheet

Completion Net Assets means the value of net assets of the Company as set forth in the Completion Accounts;

Completion Net Assets the aggregate of the amount of the issued share capital of the Company and the amount of the consolidated capital and revenue reserves of the Company as shown in the Completion Accounts;

Completion Net Assets has the meaning given in paragraph 3 of Schedule 8;

Completion Net Assets the aggregate assets less the aggregate liabilities of the Company, in each case as shown in the Completion Statement, calculated on a consolidated basis in accordance with the accounting principles, policies, standards, practices, evaluation rules and estimation techniques referred to in part 2 of this Schedule 9 less an amount equal to the Unpaid Sellers’ Expenses.
