No charge to Tax will arise on any Target Group Company by virtue (whether alone or in conjunction with any other event or circumstance) of the entering into this agreement or any of the other Transaction Documents and/or the satisfaction of any Conditions and/or Completion, and/or the making of any preparatory steps and/or arrangements in relation to any of the foregoing.
Except as otherwise expressly provided in this agreement, each party shall pay the costs and expenses incurred by it in connection with the entering into of this agreement and Completion.
