Complete Disability definition

Complete Disability as used herein shall mean the inability of Employee, due to illness, accident, or other physical or mental incapacity, to perform the services required under the Agreement for an aggregate of ninety (90) days within any period of 180 consecutive days during the term hereof; provided, however, that disability shall not constitute a basis for discharge for cause;
Complete Disability means the inability of the Executive to perform the Executive’s duties under this Agreement by reason of any incapacity, physical or mental, which the Board, based upon medical advice or an opinion provided by a licensed physician acceptable to the Board, determines to have incapacitated the Executive from satisfactorily performing all of the Executive’s usual services for the Company for a period of at least one hundred twenty (120) days during any twelve (12) month period (whether or not consecutive). Based upon such medical advice or opinion, the determination of the Board shall be final and binding and the date such determination is made shall be the date of such Complete Disability for purposes of this Agreement.
Complete Disability means the inability of the Executive to perform the Executive’s duties under this Agreement because the Executive has become permanently disabled within the meaning of any policy of disability income insurance covering employees of the Company then in force. In the event the Company has no policy of disability income insurance covering employees of the Company in force when the Executive becomes disabled, the term “Complete Disability” shall mean the inability of the Executive to perform the Executive’s duties under this Agreement by reason of any incapacity, physical or mental, which the Board, based upon medical advice or an opinion provided by a licensed physician acceptable to the Board, determines to have incapacitated the Executive from satisfactorily performing all of the Executive’s usual services for the Company for a period of at least one hundred twenty (120) days during any twelve (12) month period (whether or not consecutive). Based upon such medical advice or opinion, the determination of the Board shall be final and binding and the date such determination is made shall be the date of such Complete Disability for purposes of this Agreement.

Examples of Complete Disability in a sentence

  • For purposes of the Supplemental Retention Bonus, a “Qualified Termination” is an involuntary termination that is initiated by the Company without Cause (as herein defined) and that is not due to the Executive’s death or Complete Disability (as herein defined).

  • For purposes of the Retention Bonus, a “Qualified Termination” is an involuntary termination that is initiated by the Company without Cause (as herein defined) and that is not due to the Executive’s death or Complete Disability (as herein defined).

  • Additionally, in the event the Executive is terminated without Cause and other than due to the Executive’s death or Complete Disability prior to a Sale of Cloudbreak and the Sale of Cloudbreak later occurs, then, provided the Executive satisfies the conditions of a Release as set forth in Section 4.4.2.1, the Executive shall also be entitled to receive the Sale Bonus in the next payroll period following the date on which the Sale of Cloudbreak occurs.

  • If the Executive’s employment is terminated due to Executive’s death or Complete Disability, the Company shall pay Executive or his estate the Accrued Amounts and any Accrued and Unpaid Bonus for the prior year, if applicable, subject to standard deductions and withholdings, to be paid as a lump sum no later than thirty (30) days after the date of termination.

Complete Disability means the inability of Employee, due to illness or accident or other mental or physical incapacity, as determined in writing by a licensed physician, to perform any of his obligations under this Agreement for a period of one hundred eighty (180) calendar days in the aggregate over a period of three hundred sixty (360) consecutive calendar days, such “Complete Disability” to become effective upon the expiration of such one hundred eightieth (180th) day.
Complete Disability means that Executive is determined to be permanently disabled pursuant to the Company’s long term disability plan and is receiving disability benefits under such plan.
