Competing definition

Competing means: (i) acting as an agent, representative, consultant, officer, director, member, independent contractor or employee of any person that is Competing with the Business; (ii) participating in any such Competing person or enterprise as an owner, partner, limited partner, joint venturer, member, creditor or shareholder (except as expressly permitted herein); or (iii) communicating to any such Competing person or enterprise the names or addresses or any other information concerning any Customer or any other confidential information of the Business.

Competing means commercializing or developing in Phase 2 clinical trials or later a drug or drug candidate for the same disease that is then being commercialized or developed in Phase 2 clinical trials or later by the Company or of any of its Subsidiaries or Affiliates prior to any Change in Control.

Competing means to engage or seek to engage in the provision of products or services that are identical or substantially similar to those products or services provided by Employer during the "Service Period." For purposes of this Agreement, "primary market area" shall mean any counties in any states of the United States where, during the Service Period, Employer has performed services or sold products in such counties or to customers who are located in such counties. Competing. For the purposes of this Agreement, a business shall be deemed to be “Competing” with Company if the business performs or is planning to perform any of the same or similar services, manufacturing, research, or development provided by Company during Executive’s employment by Company.
