Competing definition
Competing means, directly or ------- --------- indirectly, without the prior written consent of the Company, providing consultive service with or without pay, owning, managing, operating, joining, controlling, participating in, or being connected as a stockholder, partner or otherwise with any business, individual, partner, firm corporation or other entity that (i) is in competition with the Company or any Subsidiary or Related Entity (as defined in Section 6(d) below) to the extent its products are similar or materially related to those of the Company or any Subsidiary or Related Entity (including products under development by the Company, or to Executive's knowledge, by any Subsidiary or Related Entity) or (ii) otherwise engages in any business in which the Company or any Subsidiary or Related Entity is engaged or proposes to engage, in either case as of the date of the termination of Executive's employment; provided that "Compete" and "Competing" shall not mean ------- --------- being a passive owner of not more than 2% of the outstanding stock of any class of a corporation which is publicly traded, so long as Executive has no active participation in the business of such corporation.
Competing means: (i) acting as an agent, representative, consultant, officer, director, member, independent contractor or employee of any person that is Competing with the Business; (ii) participating in any such Competing person or enterprise as an owner, partner, limited partner, joint venturer, member, creditor or shareholder (except as expressly permitted herein); or (iii) communicating to any such Competing person or enterprise the names or addresses or any other information concerning any Customer or any other confidential information of the Business.
Competing means being or becoming employed by or providing consulting services to a company that competes directly or indirectly with the Company’s Business. For purpose of this Policy, “Business” means the banking and/or payments business.
Examples of Competing in a sentence
Notwithstanding the foregoing, the Executive may own up to one percent (1%) of the outstanding stock of a publicly held corporation which constitutes or is affiliated with a Competing Business.
The Company immediately shall cease and cause to be terminated all existing discussions or negotiations with any parties conducted heretofore with respect to a Competing Transaction.
For any duration of this Agreement and for a period of 12 months after its expiry or termination (the “Period”), the Restaurant agrees that it shall not have any direct or indirect financial interest in any business that carries out Competing Activities to ▇▇▇▇▇▇ ▇▇▇ Ltd within the United Kingdom.
For the avoidance of doubt, the Executive understands that this Section 6.1 prohibits the Executive from acting for himself or as an officer, employee, manager, operator, principal, owner, partner, shareholder, advisor, consultant of, or lender to, any individual or other Person that is engaged or participates in or carries out a Competing Business or is actively planning or preparing to enter into a Competing Business.
Shareholder shall immediately advise Live Oak orally and in writing of the receipt by Shareholder or any of its Representatives of any oral or written communication, proposal, offer, or inquiry from any other Person regarding a Competing Transaction, including the identity of the Person making the same and the material terms and conditions of any proposal or offer.

Competing means any situation where the Optionee:
Competing means commercializing or developing in Phase 2 clinical trials or later a drug or drug candidate for the same disease that is then being commercialized or developed in Phase 2 clinical trials or later by the Company or of any of its Subsidiaries or Affiliates prior to any Change in Control.

Competing means to engage or seek to engage in the provision of products or services that are identical or substantially similar to those products or services provided by Employer during the "Service Period." For purposes of this Agreement, "primary market area" shall mean any counties in any states of the United States where, during the Service Period, Employer has performed services or sold products in such counties or to customers who are located in such counties. For purposes of this Agreement, "competitor" shall mean any person, business, or entity that competes with Employer. Employee acknowledges and understands that it is essential and reasonable, in order to protect Employer's interests under this Agreement, that Employee be restricted in the manner described above for the period described hereinabove.
Competing. For the purposes of this Agreement, a business shall be deemed to be “Competing” with Company if the business performs or is planning to perform any of the same or similar services, manufacturing, research, or development provided by Company during Executive’s employment by Company.
Competing means any situation where the Executive: (i) enters into, engages in, becomes an employee of or acquires an ownership of more than two percent (2%) of any business that competes with the Bank Group’s businesses in the Restricted Territory; (ii) directly or indirectly solicits, diverts, entices, or accepts any customers, clients, business patronage or orders from any customers, clients, or businesses with whom Executive has had contact, involvement or responsibility during Executive’s employment with any of the Bank Group’s businesses on behalf of any person (including Executive) or entity, that competes with the Bank Group’s businesses; (iii) directly or indirectly solicits, diverts, entices, or takes away any potential customer identified, selected or targeted by the Bank Group with whom the Executive has had contact, involvement or responsibility during Executive’s employment with any of the Bank Group, or attempts to do so, for the sale of any product or service that is the same as, similar to, or a substitute for, any product or service offered by the Bank Group’s businesses; and/or (iv) promotes or assists, financially or otherwise, any person or entity, engaged in any business that is the same as, similar to, or a substitute for, any product or service offered by the Bank Group’s businesses.
