Company Entity definition

Company Entity means each of the Company and its Subsidiaries.
Company Entity means (i) the Company, (ii) any subsidiary of the Company, (iii) any employee benefit plan of the Company or of any subsidiary of the Company or (iv) any entity organized, appointed or established pursuant to the terms of any such employee benefit plan.
Company Entity means the Parent, the Company and/or any of their subsidiaries or other affiliates.

Examples of Company Entity in a sentence

  • Except for the representations and warranties expressly and specifically set forth in Article 3 of this Agreement and in the other Transaction Agreements, no Company Entity makes any express or implied representation or warranty in connection with the Transactions, and the Company Entities hereby disclaim any such representations or warranties in connection with the Transactions.

  • Except for the claims set forth on Schedule 3.05 (for which the Company shall be solely liable), there are and shall be no claims for brokerage commissions, finders’ fees or similar compensation in connection with the Transactions based on any arrangement or agreement to which any Company Entity is a party or by which any Company Entity is bound.

  • Each Company Entity is duly formed, validly existing and in good standing under the Laws of the State of Delaware, the jurisdiction of its formation, and is duly qualified to carry on its business in each jurisdiction in which the nature of its business as now conducted makes such qualification necessary.
