Common Stock Event definition

Common Stock Event means the occurrence of any event described in (i) Section 11(a)(ii) hereof or (ii) clause (a), (b) or (c) of the first sentence of Section 13 hereof.
Common Stock Event means (i) the issue by the Company of additional shares of Common Stock as a dividend or other distribution on outstanding Common Stock, (ii) a subdivision of the outstanding shares of Common Stock into a greater number of shares of Common Stock, or (iii) a combination of the outstanding shares of Common Stock into a smaller number of shares of Common Stock.
Common Stock Event means at any time after the Original Issue Date, (i) the issue by the Corporation of additional shares of Common Stock as a dividend or other distribution on outstanding Common Stock, (ii) a subdivision of the outstanding shares of Common Stock into a greater number of shares of Common Stock, or (iii) a combination of the outstanding shares of Common Stock into a smaller number of shares of Common Stock.

Examples of Common Stock Event in a sentence

  • The Applicable Conversion Value, as so adjusted, shall be readjusted in the same manner upon the happening of any successive Extraordinary Common Stock Event or Events.

  • The Conversion Price for a series of Preferred Stock shall be readjusted in the same manner upon the happening of each subsequent Common Stock Event.

  • The Conversion Price shall be readjusted in the same manner upon the happening of each subsequent Common Stock Event.

More Definitions of Common Stock Event

Common Stock Event means: (a) the declaration or payment of any dividend or other distribution on the Common Stock, without consideration, payable to one or more stockholders in additional shares of Company Class A Common Stock or other securities or rights convertible into, or entitling the holder thereof to receive, directly or indirectly, additional shares of Common Stock; (b) a subdivision (by stock split, reclassification or otherwise) of the outstanding shares of Common Stock into a greater number of shares of Common Stock; or (c) a combination or consolidation (by reverse stock split) of the outstanding shares of Common Stock into a smaller number of shares of Common Stock.
Common Stock Event shall have the definition provided in Section ------------------ 8.1.4.
Common Stock Event means (i) the issuance by MIKN of additional MIKN Shares as a dividend or other distribution on the outstanding MIKN Shares, (ii) a subdivision of the outstanding Shares into a greater number of MIKN Shares, or (iii) a combination of the outstanding MIKN Shares into a smaller number of MIKN Shares, whether effected through a stock dividend, stock split, reverse stock split or otherwise.
Common Stock Event means at any time or from time to time after the date on which the first Note is issued by Parent Issuer (the “Issuance Date”), (i) the issue by Parent Issuer of additional shares of Common Stock as a dividend or other distribution on outstanding Common Stock, (ii) a subdivision of the outstanding shares of Common Stock into a greater number of shares of Common Stock, or (iii) a combination of the outstanding shares of Common Stock into a smaller number of shares of Common Stock.
Common Stock Event means at any time or from time to time, any stock dividend, stock split, reverse stock split, reclassification, recapitalization or other similar event affecting the number of outstanding shares of Warrant Stock or Common Stock (or such other stock or securities).
Common Stock Event shall have the meaning set forth in Section 6(e).

Notwithstanding the foregoing, the adjustment to the Series A Preferred Conversion Price provided by this Section (d)(v) shall not be made with respect to a Common Stock Event if the holders of Series A Preferred Stock shall have received, in connection with such Common Stock Event, a proportionate share of such dividend or distribution pursuant to Section (a)(ii).
