Except for the transactions contemplated by the Purchase Agreement, the Registration Rights Agreement, and the Commitment Note, C/M Capital Master Fund LP has not had any material relationship with us within the past three years.
The Commitment Note, when issued to the Investor in accordance with this Agreement, shall constitute a valid and binding obligation of the Company, enforceable in accordance with its terms, and free from all liens, charges, taxes, security interests, encumbrances, rights of first refusal, preemptive or similar rights and other encumbrances with respect to the issue thereof.
The shares of Common Stock issuable upon conversion of the Commitment Note shall constitute Registrable Securities and shall be included in the Registration Statement and any post-effective amendment thereto, in each case in accordance with this Agreement and the Registration Rights Agreement.
For the avoidance of doubt, the Commitment Note shall be a binding and legal obligation of the Company regardless of whether any Fixed Purchases or VWAP Purchases are effected hereunder and regardless of any subsequent termination of this Agreement.
Provided, however, until such time as both notes are repaid in full, that 30% of the proceeds from each sale under this Agreement shall be used to repay (i) that certain $150,000 Convertible Promissory Note dated November 20, 2025 issued to the Investor and (ii) the Commitment Note.
