Commitment Fee Amount definition

Commitment Fee Amount shall have the meaning assigned thereto in the Pricing Side Letter.
Commitment Fee Amount means Cash in an amount equal to $15,500,000, which is 50% of the aggregate amount of the Commitment Termination Trigger Date Commitment Fee calculated with June 23, 2025 being the Commitment Termination Trigger Date.
Commitment Fee Amount means with respect to the Class A-1A Notes as of any Distribution Date, the sum of (a) the aggregate amount of Commitment Fee accrued during the Interest Period ending on such Distribution Date plus (b) any Commitment Fee Amount due but not paid in any previous Interest Period plus (c) any Defaulted Interest in respect of any Commitment Fee Amount due but not paid on any prior Distribution Date (which Defaulted Interest shall accrue at the Note Interest Rate applicable to the Class A-1A Notes).

Examples of Commitment Fee Amount in a sentence

  • If the Company fails to be listed on any Eligible Market for a period of six (6) months or less, the Commitment Fee Amount shall be $1,000,000.

  • If the Company fails to be listed on any Eligible Market for a period of twelve (12) months or less but in excess of six (6) months, the Commitment Fee Amount shall be $1,250,000.

Commitment Fee Amount means, with respect to the Class A-2 Notes as of any Distribution Date, the sum of (a) the amount determined for the related Interest Period by multiplying (i) the Class A-2 Commitment Fee, (ii) the excess, if any, of (x) the weighted average aggregate Class A-2 Commitments during such Interest Period over (y) the weighted average Outstanding Principal Balance of the Class A-2 Notes during such Interest Period (excluding the amount of any Draw funded by a Class A-2 Noteholder in connection with its failure to satisfy the Rating Criteria) and (iii) a fraction, the numerator of which is the number of days in such Interest Period and the denominator of which is 360, plus (b) any unpaid Commitment Fee Amount due in respect of any prior Distribution Date plus (c) interest at the Class A-2 Note Interest Rate on any accrued and unpaid Commitment Fee Amount due in respect of any prior Distribution Date from the date such unpaid Commitment Fee Amount was originally due and payable.

Commitment Fee Amount means, with respect to the Class A-1A-S Notes as of any Payment Date, the sum of (i) the aggregate amount of Commitment Fee accrued during the Interest Accrual Period for such Payment Date plus (ii) interest accrued for the Interest Accrual Period for such Payment Date at the Class A-1A-S Note Interest Rate on any accrued and unpaid Commitment Fees that became payable on any prior Payment Date.
