Commission Payments means payments made to Mr Merinson by Julius Baer following the execution of the First FX Transaction, the Second FX Transaction and the Third FX Transaction;

Commission Payments has the meaning set forth in Section 1.6.1. “Commissions” has the meaning set forth in the Disclosure Schedules. “Company” has the meaning set forth in the Preamble. “Company Intellectual Property” means all Intellectual Property Rights owned, purported to be owned, used or licensed by the Company or its Subsidiaries, including all Intellectual Property Rights in and to Company Technology. “Company Plan” has the meaning set forth in Section 2.16.1. “Company Registrations” has the meaning set forth in Section 2.13.3. “Company Technology” means any and all Technology used in connection with the Business. “Compensation” means, with respect to any Person, all salaries, commissions, compensation, remuneration, bonuses or benefits of any kind or character whatsoever (including issuances or grants of equity securities), required to be made or that have been made directly or indirectly by the Company or its Subsidiaries to such Person or Affiliates of such Person. “Confidential Information” means all information of a confidential or proprietary nature (whether or not specifically labeled or identified as “confidential”), in any form or medium, that relates to the Business, products or services of the Company or its Subsidiaries at the time of the Closing, including nonpublic or proprietary Company Intellectual Property; provided, however, that Confidential Information shall not include any information that is or becomes publicly available in any way that does not involve a breach of an obligation of confidentiality on the part of any Seller or any other Person bound by a similar duty of confidentiality. “Consulting Agreement” means the consulting agreement between the Company and Xxxxxxx Xxxxxxx, dated as of the Closing Date, in a form reasonably satisfactory to Buyer. “Contemplated Transactions” means, collectively, the transactions contemplated by this Agreement and the Ancillary Agreements. “Contract” means any agreement, contract, lease, deed, mortgage, guaranty, license, instrument, note, commitment, undertaking, plan, indenture, joint venture, sale or purchase order, invoice or other agreement, commitment or legally binding arrangement, whether written or oral.
Commission Payments means any and all monetary obligations due to any NSI Independent Distributor accrued or payable under the terms of the Sales Compensation Plan or any Distributor Contract, but specifically excluding any Special Commission Payments.

Commissions against sales that are rejected upon card authorisation or otherwise refunded upon or fraudulent will be deducted from your following commission payment. Please note that referral commissions will be VOID with the use of a coupon, unless instructed otherwise from Crucial staff. If you are a current Crucial customer, you may have the affiliate payment credited to your account directly to pay for current or future services from us. To have affiliate payment credited to account alert the Crucial staff before payment.
Commission Payments has the meaning assigned in Section 5.3 of this Agreement.
