Combined Fixed Charges definition

Combined Fixed Charges means, with respect to the Restricted Subsidiaries that are not Guarantors (and are not a Finance Subsidiary or an Accounts Receivable Entity that is a Domestic Restricted Subsidiary) for any period, the sum, without duplication, of:
Combined Fixed Charges means, for any period, as determined on a combined basis and in accordance with GAAP, without duplication, the aggregate of (i) Combined Interest Expense and (ii) scheduled principal payments on Indebtedness of any of the Credit Parties due in the twelve months preceding the measurement date.
Combined Fixed Charges means, with respect to Borrowers and their Subsidiaries on a combined basis for any period, the sum, determined on a combined basis, of (a) the Combined Cash Interest Expense for such period, (b) the principal amount of Combined Total Debt having a scheduled due date during such period, (c) all cash dividends payable by Borrowers and their Subsidiaries on Equity Interests in respect of such period to persons other than Borrowers and their Subsidiaries and (d) all commitment fees and other costs, fees and expenses payable by Borrowers and their Subsidiaries on a combined basis during such period in order to effect, or because of, the incurrence of any Indebtedness.

More Definitions of Combined Fixed Charges

Combined Fixed Charges. The sum of Combined Lease Payments and required principal and interest payments pursuant to the Total Debt as reduced for any inter-company transactions.
Combined Fixed Charges means the combined Consolidated Fixed Charges of the Guarantors, adjusted to eliminate any inter-Guarantor transactions so as to reflect combined Consolidated Fixed Charges as if all of the Guarantors had been a consolidated entity, measured in accordance with GAAP.
Combined Fixed Charges means, for the applicable Measurement Period and without duplication, Borrowers’ Fixed Charges plus Guarantor’s Fixed Charges.
Combined Fixed Charges means, with reference to any period, the sum of (a) the aggregate amount of payments required to be made by the members of the Black & ▇▇▇▇▇▇ Group during such period in respect of principal on all Indebtedness for Borrowed Money (whether at maturity, as a result of mandatory sinking fund redemption, mandatory prepayment, acceleration or otherwise, excluding, however, the aggregate of any payments required pursuant to any clean-down period under the Credit Agreement), plus (b) Interest Expense for such period, plus (c) the aggregate amount of payments required to be made by the members of the Black & ▇▇▇▇▇▇ Group during such period in respect of leases or similar arrangements (including without limitation all payments required under operating leases and Capitalized Leases under which the members of the Black & ▇▇▇▇▇▇ Group are liable as lessee) plus (d) all federal, state and local taxes paid by the Company or Holding in cash.”
Combined Fixed Charges means for the Borrowers and the Subsidiaries on a combined basis, for the four (4) Fiscal Quarter period ending on the date of determination, the sum of (a) Combined Cash Interest Expense paid during such period, plus (b) scheduled principal payments paid as a result of the Revolving Loan Commitment reduction requirements under subsection 2.4A hereof during such period plus (c) agency fees and commitment fees paid during such period, plus (d) Combined Capital Expenditures of the Borrowers and the Subsidiaries paid during such period, plus (e) taxes paid in Cash and Restricted Junior Payments made with respect to taxes resulting from the business and activities of Borrowers and their Subsidiaries during such period (provided that subsection (e) of this definition shall NOT include Restricted Junior Payments made by the Borrowers permitted by subsection 7.5(ii) and (iii) hereof or in respect of capital gains taxes) plus (f) LMA Payments.
Combined Fixed Charges. The sum of the combined Lease Payments and required principal and interest payments of the Desert Valley Tenants pursuant to the Total Debt as reduced for any inter-company transactions.
Combined Fixed Charges means, for any period, the sum of (i) Parent Companies Interest Expense for such period, (ii) actual capital expenditures of Parent Companies during such period (excluding (A) expenditures of insurance proceeds to restore damaged fixed assets and (B) for any period or portion thereof ending on or before December 31, 2002, Permitted Special Capital Expenditures), (iii) the aggregate principal amount of scheduled amortization of Combined Total Debt (other than the Revolving Loans) during such period, (iv) the aggregate amount by which the Revolving Commitments have been reduced during such period to the extent the Revolving Loans have been concurrently repaid in corresponding amounts, (v) cash taxes actually paid or payable by Parent Companies during such period, in each case on a Combined Basis and (vi) the aggregate amount of Restricted Payments made pursuant to Section 6.06(a)(ii).
