The Collateral Agent (acting at the direction of the Requisite Lenders) is authorized to date and to deliver to each Collection Bank a Notice of Exclusive Control after the occurrence and during the continuance of an Amortization Event.
None of the Borrower, the Investment Manager, the U.S. Intermediate Transferor, Servicers or the Originators has consented to the applicable Collection Bank complying with instructions from any Person other than the Originators, Servicers, Investment Manager and Collateral Agent in respect of any Collection Account.
