Collateral Material Adverse Effect definition

Collateral Material Adverse Effect means a material adverse effect on the value of the Collateral, taken as a whole.
Collateral Material Adverse Effect means, as of any date of determination and whether individually or in the aggregate, (a) any event, circumstance, occurrence or condition which has caused or resulted in (or would reasonably be expected to cause or result in) a material adverse effect on the business or operations or prospects as presently conducted; (b) any event, circumstance, occurrence or condition which has caused or resulted in (or would reasonably be expected to cause or result in) a material adverse effect on the value or utility of the Collateral taken as a whole; or (c) any event, circumstance, occurrence or condition which has caused or resulted in (or would reasonably be expected to cause or result in) a material adverse effect on the legality, priority or enforceability of the Lien created by this Agreement or the rights and remedies of the Collateral Agent hereunder.
Collateral Material Adverse Effect means a material adverse effect on the Appraised Value of the Collateral, taken as a whole.
