Notwithstanding any other provision of this Agreement or the Collateral Custodian Fee Letter, each of the Collateral Custodian, the Account Bank and the Document Custodian agrees that the aggregate amount of expenses and indemnity payments included in the Collateral Custodian Fee payable pursuant to Sections 2.7(a)(1) and 2.7(b)(1) shall be not greater than $150,000 during any rolling 12-month period.

Collateral Custodian Fee means the fee payable to the Collateral Custodian in arrears on each Quarterly Payment Date in an amount specified in the Collateral Custodian Fee Letter.
