Collateral Asset definition

Collateral Asset means any loan (including any Bank Loan), security, cash or other asset owned or held by the Borrower, in each case whether or not given credit in the Borrowing Base or having a positive Advance Rate.
Collateral Asset has the meaning specified in Annex C.
Collateral Asset means a commercial loan or participation interest therein owned or, as set forth in Section 1.04, committed to be acquired or funded, by the Borrower.

  • Nevertheless, if so requested by the Collateral Manager or by a purchaser of any Collateral Asset, Equity Security, Cash Equivalent or other asset, the Borrower shall ratify and confirm any such sale or other disposition by executing and delivering to the Collateral Manager or such purchaser all proper bills of sale, assignments, releases, powers of attorney, proxies, dividends, other orders and other instruments as may reasonably be designated in any such request.

  • Each Collateral Asset was originated without any fraud or material misrepresentation by the Seller or, to the best of the Seller’s knowledge, on the part of the obligor.

  • Notwithstanding anything to the contrary herein, any sale of a Collateral Asset contemplated hereunder may take the form of a grant of a 100% undivided participation interest in a Loan that satisfies the Eligibility Criteria (a “Participation Interest”), the legal title to which is held by the Seller, and for which the Buyer shall acquire the Participation Interest and assume and agree to perform and comply with all assumed obligations of the Seller with respect to the related Collateral Asset.

  • For the avoidance of doubt, nothing in this Section 6.03 shall modify the provisions of the definition of Event of Default in the Credit Agreement with respect to the Buyer’s ability to cure an Event of Default arising from the existence of a Warranty Collateral Asset.

Collateral Asset means any loan, security, cash or other asset owned or held by the applicable Loan Party, in each case whether or not given credit in the Borrowing Base or having a positive Advance Rate.
