Notwithstanding the above, the Parties agree that the Assignee and/or its counsel shall lead the Parties’ efforts in obtaining the approval from the COFECE, being responsible for (i) leading any interaction with the COFECE, and (ii) submitting any and all documents and/or information to the COFECE, and shall consult in good faith with the Assignor and its counsel regarding any decisions in connection therewith.
The Assignee and the Assignor agree that such obligation to cooperate and use reasonable best efforts shall continue to apply in the event of any rejection, with or without a corresponding injunction, of any such consent, registration, approval, permit or authorizations by any third party and/or any governmental entity (including the COFECE).

As soon as reasonably practicable after the date of this Agreement, the Parties shall each make a premerger notification filing in respect of the transactions contemplated by this Agreement with COFECE.
Parent shall act as common representative of both Parent and the Company in connection with the filing with COFECE.
