Co-Promote definition

Co-Promote or “Co-Promotion” means, with respect to any Co-Promoted Product, the joint promotion and Detailing of such Co-Promoted Product to the Co-Promotion Target Audience in the Co-Promoted Territory using a coordinated sales force consisting of representatives of both Parties.

Co-Promote or “Co-Promotion” shall mean the joint marketing and promotion of VEGF Products by the Parties (or their respective Affiliates) under the same trademark in a Co-Commercialization Country pursuant to the applicable Country Co-Commercialization Plan.

Co-Promote means to engage in such activities.

• XOMA may elect to Co-Promote on a Product-by-Product and country-by-country basis.

• If XOMA does not elect to Co-Promote a Product in the Field in a particular country and indication as provided in Section 4.1, Alexion may Commercialize the Product (including without limitation the activities described in the previous sentence) in such country and indication in its discretion.

• If XOMA elects to Co-Promote a Product in the Field in a particular country and indication as provided in Section 4.1, the Development Committee shall coordinate and implement the joint marketing and detailing strategies and tactics, joint sales force training program, sales forecasts and post-approval clinical studies for such Product for each calendar year in each country and indication where the Parties will Co-Promote such Product.

• Takeda shall be required to pay Orexigen the PDE Costs incurred by Orexigen in connection with such Co-Promote activities under this Section 3.5.1 as provided in Section 3.3.4(b).

• Notwithstanding the exercise by Orexigen of its right to Co-Promote Contrave pursuant to Section 3.5, Takeda shall have the sole right and responsibility for handling all sales and distribution activities, including returns, order processing, invoicing and collection, distribution (including importing, exporting, transporting, customs clearance, warehousing, invoicing, handling and delivering Products to customers), and inventory and receivables for the Products in the Field in the Territory.

Co-Promote or “Co-Promotion” means, with respect to any Co-Developed Product, the joint promotion and Detailing of such Co-Developed Product in the Co-Developed Territory using a coordinated sales force consisting of representatives of both Parties.

Co-Promote means to promote jointly Franchise Products through Genentech, IDEC and their respective sales forces under a single trademark in a given country in the Co-Promotion Territory.

Co-Promote has the meaning set forth in Section 4.1.

Co-Promote or "Co-Promotion" means the joint activities of the Parties to Promote the Product under the SuperGen Trademark in the U.S. Territory.

Co-Promote means to perform jointly those Detailing and related activities normally undertaken by a pharmaceutical company’s sales force to Commercialize a product under a single trademark in the Territory.

Co-Promote when used as a verb shall mean to engage in such Co-Promotion.

Co-Promote or “Co-Promotion” means use of the respective sales forces of the Parties or their Affiliates to promote, following exercise of the Co-Promotion Option by Ambit, a Co-Promoted Product in the U.S., where “promote” means the process of direct contact between the respective sales forces and medical professionals (as further defined in the applicable Co-Promotion Agreement) who are able to purchase or influence the purchase of the Co-Promoted Product, in accordance with and as further defined in Exhibit D and the Co-Promotion Agreement.
