For clarity, (1) any clinical supply agreement will specify that all Licensed Products will be provided [***], and (2) whether Arrowhead engages in clinical or commercial Manufacture and supply pursuant to this Section 5.3 (Novartis Manufacturing Options), Novartis will be solely responsible, itself or through an Affiliate or a CMO, for final packaging and labelling of the Drug Product for each of the Licensed Products for the Territory.
With respect to each Program, at any time after the Effective Date, Novartis may request in writing the transfer from Arrowhead or Arrowhead’s CMO to Novartis or any CMO designated by Novartis, copies or samples of all Arrowhead Know-How that is necessary or reasonably useful to enable the Manufacture of the Licensed Compounds and Licensed Products that are the subject of such Program (the “Arrowhead Manufacturing Know-How”).
