Closing Amounts definition

Closing Amounts has the meaning set forth in Section 4.04(b).
Closing Amounts means the actual value obtained by recalculating the Estimated Closing Amounts, based on the books of Seller, as determined in accordance with GAAP consistent with past practice and the accounting principles set forth in Schedule 3.3 and Section 3.3 above (the “Agreed Principles”), using actual values as of the end of business on the Closing Date rather than estimates.

Examples of Closing Amounts in a sentence

  • If, upon determination of Final Closing Amounts, the Seller is required to refund an amount to the Purchaser (such amount being the “ PP Overpayment”), then the Seller shall pay to the Purchaser the PP Overpayment.

  • If, upon determination of the Final Closing Amounts, the Purchaser is required to pay an additional amount to the Seller (such additional amount being the “ PP Underpayment”), then the Purchaser shall pay to the Seller the PP Underpayment.
