Close Period definition

Close Period means any of the periods when a Restricted Employee is prohibited from dealing as specified in paragraph (4) of this Code;
Close Period means any of the periods when a director is prohibited from dealing as specified in paragraph 3 of this Code;
Close Period means such time as Employees of the Company are prohibited from dealing in Shares, for whatever reason, in accordance with the Listing Rules of the Financial Services Authority (as replaced, amended or re-enacted from time to time) and/or such policy as the Company may have established from time to time or such other statutory, regulatory or other prohibition from dealing in Shares or rights over Shares.

Examples of Close Period in a sentence

  • Notwithstanding the foregoing, to avoid multiple calculations and/or distributions, the General Partner may aggregate multiple Limited Partners and determine the amounts to be funded pursuant to this Section 3.1(c) on one or more dates occurring prior to or promptly following the expiration or termination of the Initial Close Period.

  • As of the last day of the Initial Close Period, the Aggregate Commitments of the KKR Investors, in the aggregate shall be an amount equal to at least €220 million (the “KKR Minimum Commitment Threshold”); provided that, from and after the sixth anniversary of the Launch Date, the KKR Minimum Commitment Threshold shall be reduced to €132 million.

  • The Partnership (or one or more of the Partnership’s subsidiaries) shall pay or reimburse the General Partner, the AIFM, the Management Company or any Person advancing payment of such expenses for the Partnership’s Pro Rata Share (determined as of the expiration of the Initial Close Period) of all Organizational Expenses in an aggregate amount not to exceed the Partnership’s Pro Rata Share of €4,000,000.

  • An Option can be granted at any time provided that the Date of Grant of an Option is not during a Close Period.

  • However, if this would be on a day which is on a Close Period, the day on which the Restricted Award vests will be the first Dealing Day following the end of the Close Period.


More Definitions of Close Period

Close Period means the period after the end of a fiscal quarter and prior to the first public announcement of the results for such fiscal quarter during which Computer Sciences GS is in possession of material non-public information regarding the results of operations for such fiscal quarter, which during 2016 the parties agree shall consist of (A) January 8, 2016 to February 9, 2016 inclusive, (B) April 11, 2016 to May 19, 2016 inclusive, (C) July 4, 2016 to August 11, 2016 inclusive and (D) October 3, 2016 to November 10, 2016 inclusive, or in each case, (a) such earlier date that Computer Sciences GS discloses the corresponding financial results publicly or (b) such shorter period as Computer Sciences GS determines it may require.
Close Period means such time as the directors or other employees of the Company are prohibited from dealing in Shares, for whatever reason, in accordance with the “Model Code for Transactions” or such code as the Company may have adopted from time to time or such other statutory order, regulation or other prohibition from dealing in Shares or rights over Shares;
Close Period means the period of 60 days immediately preceding the preliminary announcement and the interim announcement of BCL’s annual results and half year results or, if shorter, the period from the end of the relevant financial period up to and including the time of announcement;
