Clearing Agreement definition

Clearing Agreement means Clearing, Settlement and Sponsorship Services Agreement by and between the Borrower and Fifth Third Bank dated as of July 27, 2016, as the same may be amended, modified, supplemented, restated, amended and restated or replaced from time to time.

  • No failure to exercise, nor any delay in exercising, on the part of the Pledgee, any right or remedy under the Clearing Conditions and the Clearing Agreement (including this Schedule 2) shall operate as a waiver, nor shall any single or partial exercise of any right or remedy prevent any further or other exercise of such right or remedy or the exercise of any other right or remedy.

  • Unless otherwise provided for in the Clearing Conditions or in the Clearing Agreement (including this Schedule 2), neither Party shall assign any of its rights or claims under this Schedule 2 except with the prior written consent of all the other Parties.

  • In case of inconsistency, the provisions in the Clearing Conditions and the Clearing Agreement shall prevail, save as regards the management and enforcement provisions set forth in this Schedule 2 which shall be overriding.

  • Each communication to be made between the Parties under or in connection with this Schedule 2 shall be made in accordance with the relevant provisions of the Clearing Agreement and the Clearing Conditions.

  • Unless otherwise provided for in the Clearing Conditions or in the Clearing Agreement (including this Schedule 1), neither Party shall assign any of its rights or claims under this Schedule 1 except with the prior written consent of the other Party.
