Clean Team means a restricted group of Representatives of the Buyer to be determined by the Buyer who are not involved in the operations of the Buyer’s Group taxi ride-hailing, ride-sharing services business and who will receive access to the Seller Group’s information solely for the purposes of [***], and receiving the Seller’s notices under Clause ‎9.5, and for no other purpose; [***]

Clean Team means a restricted group of the Purchaser’s employees who do not have market-facing or strategic responsibilities within the Purchaser’s Group, who may, where the Purchaser provides a Clean Team Confirmation, receive information solely for the purpose of monitoring closely the Businesses and/or implementing the transactions contemplated by this Agreement (the “Clean Team Purpose”) but for no other purpose, and who shall, immediately following the RBS England Closing, return or destroy all originals and copies of documents to the extent containing information relating to the Excluded Business, and use reasonable endeavours to permanently erase from any computer or other device any document or data containing such information, and provide confirmation to the relevant Business Seller once this has been completed;

Clean Team has the meaning set out in clauses 4.3 and 4.4.

Clean Team means the Clean Team as defined in that certain Clean Team Confidentiality Agreement dated January 16, 2018 by and among HTA LLC, the Buyer and Platinum.

Clean Team has the meaning given in clause 4.4(C)(i) (Conduct of business before Completion);

Clean Team means (i) external professional advisors of the Alpha Parties listed in Annex 1, and (ii) the employees listed in Annex 2 in respect of Alpha and Annex 3 in respect of Sierra Living. Annexes 1, 2 and 3 may be updated by written agreement with Gemini from time to time. Each external advisor or person indicated in Annexes 1, 2 and 3 is referred to as a “Clean Team Member”.

Clean Team shall have the meaning set forth in Section 5.6(b) of the Agreement.
