Clawback Amount definition

Clawback Amount means the “Clawback Amount” and the “Interim Clawback Amount,” both as defined in Article One of the BREP VII Partnership Agreement, and any other clawback amount payable to the limited partners of BREP VII or to BREP VII pursuant to any BREP VII Agreement, as applicable.

  • In the event that Buyer has wired USD$1,350,000 to Seller’s account pursuant to Section 4 of this Agreement and the Closing does not occur on or prior to the Closing Date due to Seller’s breach of Section 11 of this Agreement, Buyer shall be entitled to recover from Seller one hundred percent (100%) of the Purchase Price (the “Closing Clawback” and together with the Seller Default Clawback Amount, the “Clawback Amounts”).
