• Notwithstanding anything to the contrary contained in this Agreement, the sole recourse of the Purchaser and IMSC for amounts from time to time owing by any of the Vendors to the Purchaser or IMSC pursuant to this Agreement or any agreement, certificate or other document delivered pursuant hereto, shall be limited to the Class X Shares, Class E Shares and Common Shares of the Vendors that have not been released from escrow pursuant to the terms of the escrow agreement contemplated by Section 2.05 hereof.

Class X Shares means Shares that have been designated to accommodate an alternative charging structure whereby instead of an annual management fee charged to the Fund, the Shareholder is invoiced directly by the ACD as set out in the agreement between the ACD and each Eligible Shareholder.
