For purposes of the foregoing, “Related Securities” shall mean any options or warrants or other rights to acquire Shares, or any securities exchangeable or exercisable for or convertible into Shares (including, for the avoidance of doubt, LP Units and shares of Class V Common Stock), or to acquire other securities or rights ultimately exchangeable or exercisable for or convertible into Shares.
The Company’s authorized capital stock consists of 750,000,000 shares of Class A Common Stock, 200,000,000 shares of Class V common stock, par value $0.0001 per share (“Class V Common Stock” and, together with the Class A Common Stock, the “Common Stock”) and 1,000,000 shares of Preferred Stock; as of April 28, 2026, 103,800,112 shares of Class A Common Stock and 128,899,014 shares of Class V Common Stock are issued and outstanding and no shares of Preferred Stock are outstanding.
Pubco shall not issue any shares of Class V Common Stock to any Person unless, concurrently with such issuance, the Partnership issues an equal number of Series A Units to such Person.
