Class L Shares means Class L Shares in the Company as set forth in the relevant

Class L Shares. For transfer agency services provided directly by Janus Services, Class L Shares of the Trust shall compensate Janus Services a fee, calculated and payable for each day that this Agreement is in effect, of 1/365 (or 1/366 in a leap year) of 0.12% of the daily closing net asset value of Class L Shares of each portfolio on assets sold directly to shareholders. To compensate Janus Services for its costs in engaging Intermediaries, Class L Shares shall compensate Janus Services in the amount of 1/365 (or 1/366 in an leap year) of 0.25% of the daily closing net asset value of Class L Shares of each portfolio on assets sold through Intermediaries.

Class L Shares means shares of Company’s Class L common stock, par value $0.001 per share.

Examples of Class L Shares in a sentence

• Class L Shares (formerly, Class C Shares) Class L shares are offered without imposition of a FESL or a CDSC.

• To the extent that any payments made by the Fund to the Adviser, including payment of management fees, out of which management fees the Adviser may pay fees to FMR, should be deemed to be indirect financing of any activity primarily intended to result in the sale of Class L Shares within the meaning of Rule 12b-1, then such payments shall be deemed to be authorized by this Plan.

• The Adviser and/or FMR directly, or through the Distributor, may, subject to the approval of the Trustees, make payments to securities dealers and other third parties who engage in the sale of Class L Shares or who render shareholder support services, including but not limited to providing office space, equipment and telephone facilities, answering routine inquiries regarding the Fund, processing shareholder transactions and providing such other shareholder services as the Trust may reasonably request.

• This Plan does not require the Adviser, FMR, or the Distributor to perform any specific type or level of distribution activities or to incur any specific level of expenses for activities primarily intended to result in the sale of Class L Shares.

• During the existence of this Plan, the Trust shall require the Adviser and/or FMR and/or the Distributor to provide the Trust, for review by the Trustees, and the Trustees shall review, at least quarterly, a written report of the amounts expended in connection with financing any activity primarily intended to result in the sale of Class L Shares (making estimates of such costs where necessary or desirable) and the purposes for which such expenditures were made.

• The Fund is authorized to engage in the activities listed above, and in any other activities related to the distribution of Class L Shares, either directly or through other persons with which the Fund has entered into agreements related to this Plan.

• The distribution services shall include assistance in the offering and sale of Class L Shares of the Fund and in other aspects of the marketing of the shares to clients or prospective clients of the respective Recipients including any advertising or marketing services provided by or arranged by Distributor, as well as Distribution Activities, with respect to the Class L Shares of the Fund.

• The fee payable hereunder is intended to compensate PIMS for services provided and expenses incurred by it relating to the offering of the Class L Shares.

• Class L Shares will convert to Class I Shares on or about July 2, 2020.

• This Plan may continue in full force and effect with respect to the Fund for so long as such continuance is specifically approved at least annually, following the first issuance of Class L Shares, in the manner provided for approval of this Plan in subsections (a) and (b) of Paragraph 3.

Class L Shares means Class L Shares in the Company as set forth in the relevant Supplement relating to each Fund;

Class L Shares means the proposed Class L shares in the capital of the Fund, issuable in series;

Class L Shares means the voting Class L Shares, par value $0.001 per share, of the Company.
