Class C Warrants definition

Class C Warrants has the meaning set forth in the recitals.
Class C Warrants means, collectively, the Class C Common Stock purchase warrants, if any, delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Class C Warrants shall be exercisable immediately after issuance and will expire five years after the Closing Date, in the form of Exhibit B attached hereto.
Class C Warrants means warrants to purchase 10 percent of the New Common Stock (after giving effect to the Rights Offering, but subject to dilution by the Management Incentive Plan), at an initial exercise price per share of $36.18. The Class C Warrants are exercisable from the Effective Date until February 9, 2026.

  • On the Closing Date, the Company will issue and deliver Class C Warrants to the Subscribers.
