Class C Common Units means a Common Unit which is designated as a “Class C Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

At the Closing, Class A Units will be issued to one or more OP Unitholders to the extent any such OP Unitholder elects to receive Class A Units (in lieu of Class B Units or Common Cash Consideration), as further provided in Section 3.3. At the Closing, Class C Units and Class D Units, which represent limited rights as provided in Section 3.5(a), will be issued to the Initial Members as further provided in Section 3.5(b), subject to the transfer of such Units pursuant to Section 3.5(b) or the assignment of such Units pursuant to Section 6.4(g).

Class C Common Units means the Class C Units on the terms set forth on Exhibit A attached hereto.

Class C Common Units has the meaning ascribed to it in the Elk Hills Power Agreements.
