Class B Holder definition

Class B Holder means the Person in whose name a Class B Certificate is registered in the Certificate Register, except that, solely for the purpose of giving any consent, request or waiver pursuant to this Agreement, the interest evidenced by any Class B Certificate registered in the name of the Transferor, Servicer, or any Person actually known to an Authorized Officer of Trustee to be an Affiliate of the Transferor or Servicer, shall not be taken into account in determining whether the requisite percentage necessary to effect any such consent, request or waiver shall have been obtained.

Class B Holder means the Person in whose name a Class B Certificate is registered in the Certificate Register.

Class B Holder means any entity or entities that are Controlled by the Principals, other than the Company or any of its Subsidiaries, and that is or becomes the Record Holder of one or more Class B Units. As of the date of this Agreement, Oaktree Capital Group Holdings is the sole Class B Holder.

• This Agreement, assuming due authorization, execution and delivery of this Agreement by the Acquiror, has been duly executed by the Sponsor and each Class B Holder and constitutes the valid and binding obligation of the Sponsor and each Class B Holder, enforceable against the Sponsor and each such Class B Holder in accordance with its terms, except as such enforceability may be limited by the General Enforceability Exceptions.

• No notices to, filings with, or authorizations, consents or approvals of any Governmental Entity are necessary for the execution or delivery by the Sponsor or any Class B Holder of this Agreement or the consummation by the Sponsor or any Class B Holder of the transactions contemplated by this Agreement.

More Definitions of Class B Holder

Class B Holder means a Member holding Class B Units.
