Class A Preferred Unit definition

Class A Preferred Unit means a Partnership Unit that is specifically designated, when issued, as being a Class A Preferred Unit under the terms of this Agreement.
Class A Preferred Unit means a Partnership Interest representing a fractional part of the Partnership Interests of all Limited Partners and assignees, and having the rights and obligations specified with respect to a Class A Preferred Unit in this Agreement, including PIK Units, provided that such PIK Units shall be subject to such restrictions as are set forth herein. A Class A Preferred Unit that is convertible into a Common Unit shall not constitute a Common Unit until such conversion occurs.
Class A Preferred Unit means a Unit representing a fractional part of the interest of a Unitholder in Profits, Losses and Distributions and having the rights and obligations specified with respect to the Class A Preferred Units in this Agreement.

Examples of Class A Preferred Unit in a sentence

  • If less than all of the Class A Preferred Units are to be redeemed, the General Partner shall select the Class A Preferred Units to be redeemed pro rata, based on the number of Class A Preferred Units held by each holder, calculated to the nearest whole Class A Preferred Unit.

  • Pursuant to Section 3.2(b) of the Limited Partnership Agreement, there is hereby created a class of Units designated as the “ Class A Cumulative Preferred Units” (the “Class A Preferred Units”), which shall each have a liquidation preference per Class A Preferred Unit equal to the Unit Price (the “Liquidation Preference”).

More Definitions of Class A Preferred Unit

Class A Preferred Unit means a limited partnership interest in the Partnership having the rights, privileges, restrictions and conditions set forth in this Schedule A.
Class A Preferred Unit means a Unit of Interest having the rights and obligations specified with respect to the Class A Preferred Units in this Agreement. Class A Preferred Units are non-voting Units and are not subject to equity dilution. The number of Class A Preferred Units available for issuance will not exceed 1,500,000.
Class A Preferred Unit has the meaning set forth in Article 1 of the Third LLC Agreement.
Class A Preferred Unit means a Preferred Unit with the designations, preferences and relative, participating, optional or other special rights, powers and duties set forth in this Designation.
Class A Preferred Unit means a fractional share of the Partnership Interests of all Partners described in Article XVI and issued pursuant to Sections 4.01, 4.03 and 4.04 hereof.
Class A Preferred Unit means a Unit having the rights and obligations specified with respect to a Class A Preferred Unit in this Agreement.
