Class A-2 Units definition

Class A-2 Units means the Units having the privileges, preference, duties, liabilities, obligations and rights specified with respect to “Class A-2 Units” in this Agreement.
Class A-2 Units means that class of Company Interests issued to those Members set forth on Exhibit A in the amounts set forth thereon, and to such other Persons after the Effective Date in accordance with this Agreement, representing an interest in profits, losses and distribution as set forth in this Agreement and having the rights, powers, obligations, restrictions and limitations specified with respect to Class A-2 Units in this Agreement.
Class A-2 Units means the Class A-2 Units of the Partnership representing the interests in the Partnership set forth in this Agreement.

More Definitions of Class A-2 Units

Class A-2 Units has the meaning set forth in the LLC Agreement.
Class A-2 Units means the Units classified as Class A-2 Units in the A&R LLC Agreement and initially held by Apollo Fund.
Class A-2 Units has the meaning set forth in Section 3.1(b) hereof.
Class A-2 Units means preferred units of economic interest equal with each other, each with the rights and liabilities, at any particular time, including rights to vote, rights to distributions (liquidating or otherwise) and allocations, as provided in this Agreement.

Class A-2 Units. (collectively, “Units”), in each case possessing the rights, interests and obligations set forth herein. Each Member who holds any Class A-1 Units is referred to herein as a “Class A-1 Unitholder” and each Member who holds any Class A-2 Units is referred to herein as a “Class A-2 Unitholder.” The Company shall keep a current schedule of the number of outstanding Class A-1 Units and Class A-2 Units (the “Schedule of Outstanding Units”) with the books and records of the Company. Attached as Schedule 1 hereto is the Schedule of Outstanding Units as of the date hereof, evidencing the Units that have been issued and/or transferred to the Members as of the date hereof in accordance with the terms of the Restructuring and this Agreement. Attached as Schedule 2 hereto is a schedule setting forth the Capital Accounts of such Members with respect to such Units, as of the date hereof. Each Unit issued to a Member in accordance with this Agreement shall be a fully paid and non-assessable limited liability company interest in the Company.
Class A-2 Units has the meaning assigned to such term in the Company LLC Agreement.
